TERMS OF SERVICE**

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “Grantor,” “you,” or “your”) and BitBridge LLC, a Wyoming limited liability company (“BitBridge,” “we,” “us,” or “our”), governing your access to and use of BitBridge’s Bitcoin trust services.
By creating an account, establishing or funding a trust, or otherwise using BitBridge services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any applicable Trust Agreement. If you do not agree, you may not use the Services.
1. Nature of BitBridge’s Services
BitBridge is a Bitcoin trust company that provides trust creation, administration, and trustee services under Wyoming trust law.
BitBridge does not sell Bitcoin.
BitBridge does not buy Bitcoin on behalf of users.
BitBridge does not operate an exchange, broker, or trading platform.
Our Services are limited to:
- Establishing user-revocable Bitcoin trusts
- Acting as Trustee for such trusts
- Accepting Bitcoin (BTC) only into trust custody
- Administering trust terms, distributions, and recovery procedures
Nothing in the Services constitutes an offer to sell Bitcoin or any other digital asset.
2. Definitions
- “Bitcoin” or “BTC” means the decentralized digital currency operating on the Bitcoin blockchain.
- “Trust” means a revocable trust established under Wyoming law for the custody of Bitcoin.
- “Grantor” means the individual(s) who establish and fund the Trust.
- “Beneficiary” means the individual(s) designated to receive Trust assets upon satisfaction of distribution conditions.
- “Trustee” means BitBridge LLC, acting in its fiduciary capacity as administrator of the Trust.
- “Trust Agreement” means the executed legal document governing the specific Trust.
- “Distribution Date” means the date or triggering event specified in the Trust Agreement for distribution.
3. What BitBridge Does NOT Provide
BitBridge explicitly does not provide:
- Bitcoin sales or brokerage services
- Investment, financial, legal, or tax advice
- Portfolio management or trading decisions
- Custody of any asset other than Bitcoin (BTC)
- Price predictions, guarantees, or performance representations
You are solely responsible for acquiring Bitcoin prior to funding a Trust.
4. Eligibility
To use BitBridge services, you must:
- Be at least 18 years old
- Have legal capacity to enter binding agreements
- Be legally permitted to own and transfer Bitcoin
- Satisfy identity verification requirements
Services are available only to individuals who can lawfully participate under applicable U.S. law.
5. Trust Structure and Revocability
All Trusts:
- Are revocable during the Grantor’s lifetime, unless otherwise specified
- Hold Bitcoin only
- Are governed by the executed Trust Agreement
- Are administered under Wyoming trust law
The Grantor retains beneficial ownership of all Bitcoin held in Trust.
In the event of conflict, the Trust Agreement controls over these Terms.
6. Trust Funding
BitBridge only accepts Bitcoin (BTC).
Funding occurs exclusively by:
- Transferring Bitcoin already owned by the Grantor
- Sending BTC to the Trust’s designated wallet address
- Complying with deposit verification and AML requirements
BitBridge does not facilitate Bitcoin purchases and is not involved in acquisition.
7. Custody and Security
Bitcoin is held using industry-standard, multi-signature custody structures and secure key-management practices.
You acknowledge that:
- Blockchain transactions are irreversible
- No system is completely immune from risk
- BitBridge cannot guarantee uninterrupted service or absolute security
Custody practices may evolve over time without reducing the security standard.
8. Fees
Fees are charged only for trust-related services, not transactions or trading.
Typical fees may include:
- One-time trust setup fees
- Distribution fees upon payout
- Recovery fees when extraordinary recovery services are required
Fees are disclosed separately and are non-refundable once services are rendered.
9. Distributions and Beneficiary Claims
Distributions occur only when:
- Distribution conditions in the Trust Agreement are satisfied
- Required identity verification is completed
- Applicable fees are paid
BitBridge may reject claims that are premature, fraudulent, incomplete, or unlawful.
10. Grantor Rights and Revocation
As Grantor, you may:
- Amend beneficiary designations
- Modify distribution conditions
- Add Bitcoin to the Trust
- Revoke the Trust and reclaim assets, subject to verification and fees
Upon revocation, the Trust terminates and assets are distributed according to the Trust Agreement.
11. Risk Disclosures
You acknowledge and accept risks including:
- Bitcoin price volatility
- Regulatory changes
- Network congestion or protocol changes
- Technological failures beyond BitBridge’s control
Bitcoin held in Trust is not insured by FDIC, SIPC, or any government entity.
12. No Investment or Tax Advice
BitBridge does not provide:
- Investment recommendations
- Tax advice
- Legal or estate-planning advice
You are responsible for consulting qualified professionals.
13. Limitation of Liability
To the maximum extent permitted by law:
- BitBridge is not liable for indirect, incidental, or consequential damages
- Total liability shall not exceed the greater of:
- Fees paid in the prior 12 months, or
- $1,000 USD
14. Indemnification
You agree to indemnify and hold harmless BitBridge from claims arising from:
- Your breach of these Terms
- Violation of applicable laws
- Disputes involving Beneficiaries
- Misuse of the Services
15. Compliance Obligations
BitBridge complies with applicable AML, KYC, and sanctions laws.
You agree to:
- Provide truthful source-of-funds information
- Cooperate with verification requests
- Not use BitBridge for unlawful purposes
Required disclosures to regulators or law enforcement may occur.
16. Privacy
Your use of the Services is subject to our Privacy Policy, incorporated by reference.
17. Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules.
Exclusive jurisdiction and venue lie in Wyoming state or federal courts, unless arbitration is elected by BitBridge.
Class actions are waived to the extent permitted by law.
18. Termination
Either party may terminate the relationship in accordance with Trust revocation or applicable law.
Termination does not affect obligations that survive by their nature.
19. Amendments
BitBridge may amend these Terms with notice.
Material changes will not retroactively alter executed Trust Agreements.
20. Miscellaneous
- These Terms, the Privacy Policy, and the Trust Agreement constitute the entire agreement
- Severability applies
- No partnership or joint venture is created
- Headings are for convenience only
